1. Each time that all of the following occurs (a "Booking"), the TRAVEL AGENT is entitled to earn 50% of the commission paid by the hotel to CyberCapeTown.com for all orders placed by the TRAVEL AGENT: the TRAVEL AGENT gets a reservation confirmation for a hotel room on behalf of a guest on the CyberCapeTown.com web site; the guest stays at the hotel based on the confirmed reservation; and the reservation is not cancelled, exchanged, refunded or rebated, the hotel pays a commission to CyberCapeTown.com. The TRAVEL AGENT commission is based on the gross room revenues earned by the hotel property after the application of promotional and other discounts, less amounts collected for sales taxes, duties, shipping and handling and similar charges and amounts due to credit card fraud and bad debt. Invoices and commission shall be paid monthly. However, if commissions are less than $100 in any month, CyberCapeTown.com reserves the right to pay quarterly. 2. The above commission shall be the sole compensation that the TRAVEL AGENT is entitled to receive under this agreement. TRAVEL AGENT commissions are paid monthly upon receipt of an invoice from the TRAVEL AGENT by fax to +27214398644. All orders are subject to acceptance by CyberCapeTown.com in accordance with its policies at the time of booking request. CyberCapeTown.com policies are subject to change without notice. 3. The TRAVEL AGENT customers shall receive the same benefits and same high level of service regular CyberCapeTown.com customers. 4. CyberCapeTown.com may modify any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by posting a change notice or a new agreement on site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules payment procedures, and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO THE TRAVEL AGENT, THE TRAVEL AGENT'S ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. THE TRAVEL AGENT'S CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING TABLETHOTELS POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON CYBERCAPETOWN.COM’S SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. 5. CyberCapeTown.com will not be liable for indirect, special or consequential damages for any loss of revenue, profits, or data arising in connection with this Agreement or the Program, even if CyberCapeTown.com has been advised of the possibility of such damages. Further, aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to the TRAVEL AGENT under this Agreement. 6. CyberCapeTown.com makes no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, CyberCapeTown.com makes no representation that the operation or its site will be uninterrupted or error-free, and CyberCapeTown.com will not be liable for the consequences of any interruptions or errors. 7. THE TRAVEL AGENT ACKNOWLEDGES THAT THE TRAVEL AGENT HAS READ THIS AGREEMENT AND AGREES TO ALL ITS TERMS AND CONDITIONS. THE TRAVEL AGENT UNDERSTANDS THAT CYBERCAPETOWN.COM MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT. THE TRAVEL AGENT HAS INDEPENDENTLY EVALUATED THE DESIIRABILITY OF PARTICIPATING IN THE PROGRAM AND IS NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 8. The TRAVEL AGENT may not assign this Agreement, by operation of law or otherwise, without prior written consent. CyberCapeTown.com may not assign this Agreement except by operation of law, upon the sale of all or substantially all of the assets or stock of CyberCapeTown.com
